Welcome to the 1099 Review™ website, at www.1099review.com (“the Site”), a website owned and operated by Mercer Law PLLC (“Mercer Law”). The purpose of the Site is to provide independent contractor information and resources to site subscribers in the market for such information.

1. Your Acceptance

By accessing or using the Site, you accept these Terms of Use (“Terms of Use” or “Terms”).  We reserve the right to change, add, or delete portions of these Terms of Use at any time without further notice.  Your continued use of the Site after any such changes means you agree to the new Terms.  If we make any such changes, additions, or deletions to the Terms, we will update the date at the upper left corner of this page.  If you do not agree to abide by any future Terms of Use, please do not continue to access or use the Site.

2. We Are Not Providing LEGAL Advice

Mercer Law PLLC provides materials on this Web site for educational and guidance purposes only.  We do not provide, and the information available through this site does not constitute, specific legal, business, financial, accounting, or tax advice.  While the site may serve as an excellent starting point for understanding independent contractor issues, we strongly recommend independent judgment and the advice of competent legal counsel.  IF YOU RELY ON ANY INFORMATION OR SERVICE AVAILABLE THROUGH THIS SITE, YOU DO SO AT YOUR OWN RISK. YOU UNDERSTAND THAT YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE OR LOSS YOU MAY INCUR THAT RESULTS FROM YOUR USE OF ANY SITE SERVICE OR ANY SITE MATERIAL AND/OR DATA.

Most of the content on the Site including, without limitation text, graphics, photographs, moving images, illustrations, files, trademarks, logos, service marks, sounds, music, artwork and computer code, design, structure, selection, coordination, “look and feel” and arrangement of such content (“Content”), is owned by Mercer Law PLLC.  A small amount of content is in the public domain and/or is owned by third parties who have authorized us to use such content.  Most elements of the Site including, without limitation the general design and the Content, are protected by copyright, trademark, trade dress, moral rights or other intellectual property regimes.  Except as stated on the Site, you may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, or create derivative works from any Content without the prior written consent of Mercer Law PLLC.  In any event, you may not remove copyright, trademark, or other proprietary notices from material found on the Site, unless otherwise expressly agreed in writing between you and us.

4. Personal Information

You have the option of contacting and providing information to us by clicking the “Contact” section of the site.  We will not share any information you provide with any third parties without your consent.

5. Links to Third-Party Websites

The Site contains links to third-party websites that we do not own or control.  These links are provided as a courtesy to you.  We have no control over, and assume no responsibility for, the content, products, services, policies, or practices of any third-party websites.  We do not guarantee or make any representations or warranties regarding any third-party websites.

6. General Use of the Websites – Restrictions

The Site is made available for your access and use, provided that:

    1. You agree not to copy or distribute in any medium any part of the Site without Mercer Law PLLC’s prior written authorization.

    2. You agree not to alter or modify any part of the Site or any of its related technologies, or create derivative works or other products or services based upon the Site.

    3. You agree not to collect, use or disclose any personal information of any User or third party collected, derived or associated with your use of the Site, including name, address, phone number, email address, financial information, other personally identifiable information and any information provided by any User in registering or creating an account with Mercer Law PLLC (collectively “Personal Information”).

    4. You agree not to: (i) take any action that imposes or may impose, in our sole discretion, an unreasonable or disproportionately large load on our infrastructure; (ii) interfere or attempt to interfere with the proper working of the Site or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of, the Site; or (iii) bypass any measures we may use to prevent or restrict access to the Site.

    5. You agree not to circumvent, disable or otherwise interfere with security-related features of the Site or features that prevent or restrict use or copying of any Content or enforce limitations on use of the Site or the Content therein.

    6. You agree not to use or launch any automated means, including spiders, robots, crawlers, scrapers or the like, to download data from the Site.

    7. You agree not to violate any applicable laws, rules or regulations, whether federal, state or local or of any foreign jurisdiction or use the Site in a way for unlawful purposes or that constitutes or encourages any unlawful activities.

7. Digital Millennium Copyright Act 

We will respond expeditiously to notices of alleged copyright infringement that are duly reported to our Designated Copyright Agent identified in the notice below.  If you believe your content has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide our Designated Copyright Agent the following information:

  • A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;

  • Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;

  • Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled and information reasonably sufficient to permit the service provider to locate the material;

  • Information reasonably sufficient to permit the service provider to contact you, such as an address, telephone number, and, if available, an electronic mail address;

  • A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and

  • A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

The information on this Site is intended as a resource and not as legal advice.  The Site is provided “as is.”  We expressly disclaim all warranties, express or implied, related to the Site and your use thereof, including, warranties of title, merchantability, fitness for a particular purpose or non-infringement or warranties of uninterrupted, timely, secure, or error-free use or operation.  We assume no liability or responsibility for:  (i) errors, mistakes, or inaccuracies of content; (ii) any acts, omissions and conduct of any users and/or other parties referenced on or through the Site; (iii) any unauthorized access to or use of our servers and/or; (v) any interruption or cessation of transmission to or from the Site; or (vi) any bugs, viruses, Trojan horses, or the like that may be transmitted to or through the Site.

11. Subscription Agreements

Through the Site, you may have the option of entering into a subscription service to access Mercer Law’s 1099 Review software and services.  The subscription service requires your agreement to additional terms and conditions.  If you enter into a subscription service with Mercer Law, all terms and conditions for use of Mercer Law’s 1099 Review software and services are in addition to the Terms stated in these Terms and Conditions.

12. General

These Terms of Use will be governed by the laws of the State of Washington.  The exclusive jurisdiction and venue for any action under these Terms of Use shall be in the state and federal courts in Seattle, Washington.  You hereby accept the personal jurisdiction of such courts.  We do not guarantee continuous, uninterrupted or secure access to the Site, and operation of the Site may be interfered with by numerous factors outside of our control.  Any provision that was, by its nature, intended to survive termination of these Terms will so survive.  If any provision of these Terms of Use is invalid or unenforceable in any jurisdiction, the other provisions herein will remain in full force and effect.
